Stock market rules changing from April 1: STT on F&O, algo, buyback & more



Stock market rules changing from April 1: Starting April 1, 2026, several key changes will come into effect across the stock market ecosystem. These reforms, introduced or amended by the capital market regulator Securities and Exchange Board of India (Sebi) and the Reserve Bank of India (RBI), are aimed at enhancing transparency, tightening risk controls, and supporting long-term stability.

 


Sunny Agarwal, head of fundamental research at SBI Securities, said that the new measures reflect a calibrated effort to curb excessive speculation and enhance the overall quality of market participation. 

 


“Market hopes for a gradual shift from trading to investing, disciplined capital allocation and better stability of markets. Regulatory tightening may cause short-term friction, but the broader direction remains constructive for long-term investors, with an emphasis on quality, transparency, and sustainable growth,” he said. 

 
 


Let’s have a detailed look at the new rules:

 


1. STT hike on F&O: In the Union Budget 2026-27, Finance Minister Nirmala Sitharaman had announced an increase in Securities Transaction Tax (STT) for futures and options (F&O) trading.

 


STT on Futures: 0.05 per cent (old rate: 0.02 per cent)

 


STT on Options (Premium): 0.15 per cent (old rate 0.10 per cent)

 


STT on Options (Exercised): 0.15% (old rate 0.125 per cent)

 


STT is levied and collected by the government.

 


2. 50:50 margin rule: Sebi has mandated that brokers should maintain a minimum of 50 per cent of the margin in cash, with the remaining 50 per cent in non-cash collateral (such as pledged shares) for all the positions in the F&O. This means that a higher cash amount is required to execute a trade. Cash margin (what is allowed): Free cash in the demat account, liquid mutual funds, and overnight funds. Stocks and equity mutual funds are not allowed as cash margin.

 


3. 12% surcharge on share buyback: A flat 12 per cent surcharge will be levied on capital gains from share buybacks. The 12 per cent surcharge will be applicable to individual or corporate shareholders making profits by selling shares in the buyback offer.

 


The new rule will raise the tax cost, because a lower surcharge structure was applied on buybacks earlier. Before this, no surcharge was levied on taxable income up to ₹50 lakhs, while taxable income between ₹50 lakhs and ₹1 crore attracted a 10 per cent surcharge on capital gains from buybacks.

 


4. Strict lending norms for brokers: The RBI has introduced a set of new lending rules for stock brokers.

 


– RBI has tightened the rules for banks lending to stock brokers. As per the new rule, all such credit should be collateral in nature, and stricter monitoring will be carried out on a daily basis.

 


– As per the new rule, in the case of bank guarantees issued to exchanges, a minimum of 50 per cent of such guarantees must be backed by collateral. Of this, at least 25 per cent must be in cash. This means that cash blockage for brokers will increase.

 


– RBI has introduced higher haircuts on equity collateral, to 40 per cent. This means that pledged shares worth ₹100 will be valued at ₹60 by banks. As a result, brokers will need to pledge a larger number of shares or assets to increase the value.

 


– RBI has prohibited bank funding for proprietary trading. In other words, banks can no longer fund stock brokers’ own trading books, although there are a few exceptions. Earlier, stock brokers were heavily dependent on bank funding for proprietary trading.

 


5. New algo trading rules: Algo trading happens when computers automatically buy and sell stocks using pre-defined rules. Let’s take a look at Sebi’s new algo trading framework:

 


– All algo strategies must be approved by exchanges via brokers. All approved algos will have a unique algo ID, and this ID will be tagged to each order, which will facilitate audit and traceability.

 


– Under the new framework, API access will be restricted for retail clients until they declare their strategy to the broker. Brokers will be responsible for monitoring API usage.

 


– All retail API users will be required to share one or two static IP addresses with their brokers. Brokers will register these IP addresses with the exchanges, and only orders originating from these IPs will be accepted.

 


– Sebi has mandated that algo providers be empanelled with exchanges. If a trader uses an algo provided by a vendor or a fintech firm, that entity must be empanelled with exchanges. Brokers will also have to ensure that all steps are followed during the process.

 


– Brokers will have to maintain details of all algo activity, including time, price, quantity, ID, and other information. For API sessions, mandatory two-factor authentication (2FA) and a password expiry policy will be required. Additionally, there should be an automatic session logout system each day. If a client does not meet these criteria, brokers will not be allowed to onboard new API clients.

 


6. New mutual fund rules: Sebi has notified revamped Mutual Fund Regulations. The regulator has introduced a revised structure for expenses, sharper disclosure requirements, and strengthened governance norms for fund houses.

 


Under the new framework, Sebi has introduced the concept of a Base Expense Ratio (BER). This will represent only the fee charged by an AMC for managing funds.

 


AMCs will now have to separately disclose other levies, such as brokerage, STT, stamp duty, and exchange fees. Earlier, these costs were aggregated under the Total Expense Ratio (TER). Additionally, Sebi has expanded the responsibilities of trustees and key managerial personnel of AMCs by tightening oversight and reinforcing governance standards.

US judge blocks deal allowing churches to endorse political candidates


A US federal judge has declined to approve a Trump administration-era settlement that would have allowed churches to endorse political candidates without risking their tax-exempt status

A federal judge on Tuesday declined
to approve a Trump administration-crafted settlement that would
have allowed churches and ​other houses of worship to endorse
political candidates to their congregations without ‌risking
losing their status as tax-exempt nonprofits.

U.S. District Judge J. ​Campbell Barker in Tyler, Texas,
ruled he lacked jurisdiction ⁠to hear the case and sign off on a
consent judgment that the U.S. Internal Revenue Service had
entered into with two Texas churches and the ‌National Religious
Broadcasters.

Under the IRS’ proposed pact, traditional religious
communications would be deemed exempt from a decades-old
provision in the U.S. ‌tax code that bars nonprofits, religious
and secular, from endorsing ‌political ⁠candidates.

It entered into that agreement in July to resolve ⁠a lawsuit
that NRB, an association of Christian broadcasters, filed ahead
of the 2024 presidential election to challenge the 1954 tax code
provision known as the Johnson Amendment, ​which was named for
then-Senator Lyndon ‌Johnson, who went on to become president.

But Barker, who was appointed by Trump during his first
administration, sided with opponents of the agreement from the
Americans United for Separation of Church and ‌State in finding
the Tax Anti-Injunction Act barred him from ​approving the deal.

That law broadly prohibits lawsuits that seek to block the
collection of taxes. And Barker said ⁠that declaring the Johnson
Amendment does not apply to specific conduct “would thus
directly bear on the amount of tax that could be collected.”

Rachel ‌Laser, the president of the Americans United for
Separation of Church and State, in a statement applauded
Barker’s decision to dismiss the case, saying it means “the
Johnson Amendment will remain a strong bulwark to stop religious
extremists from exploiting houses of worship.”

Michael Farris, NRB’s general counsel, said his organization
plans to appeal, saying Barker’s ruling ignored an ‌exemption to
the Anti-Injunction Act that would allow the case to proceed.

The IRS ​did not respond to a request for comment.

The U.S. Department of Justice under Democratic President
Joe Biden had defended ⁠the law’s constitutionality in court
before shifting course under Republican President Donald ⁠Trump,
who has called for the Johnson Amendment to be repealed.

The IRS in proposing the settlement last year said ‌that
interpreting the Johnson Amendment to include communications
between a house of worship and its congregation would create
“serious tension” with the religious ​rights protections of the
U.S. Constitution’s First Amendment.

Debutant Cooper Connolly hit his maiden half-century as Punjab Kings chased down the target of 163 runs in 19.1 overs and registered a three-wicket win, quelling a great comeback by the Gujarat Titans in their opening match of the Indian Premier League (IPL) 2026 at the PCA’s New International Cricket Stadium in New Chandigarh on Tuesday.

Chasing 163, the Punjab Kings had an early setback when impact player Priyansh Arya was dismissed for 7 off 8 balls in the second over by Kagiso Rabada.

Opener Prabhsimran Singh then counter-attacked, hitting back-to-back sixes off Rabada in the fourth over. Connolly joined the charge, smashing two sixes as Punjab reached 55/1 at the end of the Power-play. The duo continued to score freely, adding 76 runs for the second wicket and taking the team close to 100.

The partnership was broken in the 10th over when Rashid Khan dismissed Prabhsimran for a quick 37 off 24 balls. Captain Shreyas Iyer kept up the momentum with two sixes but was dismissed in the 13th over by Prasidh Krishna.

Gujarat Titans fought back strongly with quick wickets, removing Nehal Wadhera, Shashank Singh, and Marcus Stoinis, with Krishna and Washington Sundar among the wicket-takers.

Despite the collapse at the other end, Connolly held his nerve and completed his maiden IPL fifty on debut in just 34 balls. He remained unbeaten on 72 off 44 balls, hitting five fours and five sixes, and guided Punjab home along with Xavier Bartlett (11 not out) with five balls to spare.

Krishna was the pick of the bowlers for Gujarat, finishing with 3-29, while Rabada, Ashok Sharma, Rashid Khan, and Sundar took one wicket each.

Earlier, fast bowler Vijaykumar Vyshak took three wickets while Yuzvendra Chahal took two as the Punjab Kings restricted the Gujarat Titans to 162/6 in 20 overs.

Gujarat Titans made a strong start after being asked to bat first, with Shubman Gill and Sai Sudharsan scoring freely to take the score to 35/0 in three overs. However, Punjab Kings struck early as Marco Jansen dismissed Sudharsan for 13.

Gill then added stability alongside Jos Buttler, guiding the team to 54/1 at the end of the powerplay. While Gill initially played aggressively, he later slowed down to anchor the innings before being dismissed for 39 off 27 balls by Yuzvendra Chahal in the 10th over.

Glenn Phillips looked to accelerate with a quick 25 off 17 balls, but fell to Vijaykumar Vyshak. Buttler continued to hold the innings together but was dismissed for 38 off 33 balls by Chahal in the 16th over.

Washington Sundar struggled for fluency and managed 18 off 16 balls before getting out late in the innings.

Vyshak was the standout performer with the ball, finishing with figures of 3-34 in four overs, while Chahal provided crucial support with two wickets. Punjab Kings’ disciplined bowling effort ensured Gujarat Titans were kept under control despite their strong start.
