Piramal Enterprises board to mull fund raising upto Rs 150 cr


The board of Piramal Enterprises will meet on Wednesday, 21 August 2024 to consider issuing non-convertible debentures (NCDs) aggregating up to Rs 150 crore on private placement basis.

In a regulatory filing, the NBFC said that its Administrative Committee of the board of directors will consider and approve the issue of secured, rated, listed, redeemable, NCDs up to Rs 50 crore along with the green shoe option to retain oversubscription up to Rs 100 crore, the total size aggregating up to Rs 150 crore, having a face value of Rs 1 lakh each, on a private placement basis.

Piramal Enterprises (PEL) is a leading diversified NBFC in India with a presence across retail lending, wholesale lending, and fund-based platforms. The company has investments and assets worth around $10 billion, with a network of branches across 26 states/UTs.

The NBFC reported 64.33% fall in consolidated net profit to Rs 181.48 crore in Q1 FY24 as against Rs 508.78 crore posted in Q1 FY24. Total income fell 25.99% to Rs 2,145.38 crore in Q1 FY25 as compared to Rs 2,898.79 crore posted in corresponding quarter last year.

Shares of Piramal Enterprises surged 7.43% to settle at Rs 946.85 on Friday, 16 August 2024.

Sebi proposes expansion of sustainable fin framework in securities market



Markets regulator Sebi has proposed expansion of the sustainable finance framework in the securities market by introducing a new category of financial instruments.


This category will include Social Bonds, Sustainable Bonds, and Sustainability-linked Bonds in addition to the current green debt securities. It aims to provide issuers with flexibility in raising funds for projects that align with environmental, social, and governance (ESG) objectives.


In a consultation paper released on Friday, Sebi proposed that issuers, in addition to existing green debt securities, be allowed to raise funds through issuance of social bonds, sustainable bonds, and sustainability-linked bonds. These bonds will collectively be known as ESG Debt Securities.


This will enable issuers to raise money for more sustainable projects, assisting in closing the funding gap for the Sustainable Development Goals.


Sebi said it received representations from market participants including the Confederation of Indian Industry to expand the scope of the regulatory framework pertaining to sustainable finance to include Social Bonds, in addition to existing Green Debt Securities as a mode of raising sustainable finance, in line with global practices.


As per the consultation paper, Sebi said, it “proposed to introduce the concept of Sustainable Securitised Debt Instruments for the purpose of providing originators of the underlying credit facilities which are within such international or domestic frameworks for sustainable finance, and thereby provide investors as well an opportunity to participate in the sustainable securitised debt instruments”.


The consultation paper also addressed the initial and continuous disclosures for sustainable securitised debt instruments that would be based on international frameworks.


Initial disclosures could be made in the offer document for the securities, while continuous disclosures might be included in annual reports or other mandated formats.


The markets watchdog also suggested that issuers of ESG debt securities and sustainable securitised debt instruments appoint an independent external reviewer or certifier, to facilitate transparency and credibility.


The review could take various forms including, second-party opinions, verification, certification, or scoring/ rating.


The Securities and Exchange Board of India (Sebi) has invited comments and suggestions from the public on the consultation paper by September 6.

Samvardhana Motherson arm incorporates WOS in Abu Dhabi


SMRC Automotive Holdings Netherlands B.V., a wholly owned subsidiary of Samvardhana Motherson International, has incorporated a wholly owned subsidiary (WOS), namely, Motherson International, Abu Dhabi.

Motherson International has been incorporated to carry on the business of manufacturing, assembling, marketing, trading, import, export, sourcing, tooling, purchasing raw material for all kinds of parts, subparts for automotive, nonautomotive and related industry.

The new entitys AED 30,000,000 authorised share capital will be subscribed by SAHNBV (a wholly owned subsidiary of Samvardhana Motherson International), in one or more tranches for cash.

Samvardhana Motherson International is the flagship company of the Samvardhana Motherson group.

The companys consolidated net profit of Rs 994.17 crore in Q1 FY25, jumped 65.45% as against Rs 600.87 crore posted in Q1 FY24. Total revenue from operations increased 28.51% YoY to Rs 28,867.96 crore during the June 2024 quarter.

The scrip rose 0.65% to close at Rs 185.70 on Friday, 16 August 2024.

JNK India bags 'major' order from HPCL


The heating equipment maker on Friday announced that it has received a ‘major’ order from Hindustan Petroleum Corporation (HPCL).

As per JNK Indias classification, the value of the said contract lies between Rs 150 crore and Rs 350 crore.

The contract is for setting up a new process plant – HP TDAE (Treated Distillate Aromatic Extracts) unit on LSTK (Lump sum Turnkey) contract basis at HPCL Mumbai Refinery.

The company said the order will be completed within 14 months.

JNK India manufactures heating equipment such as process-fired heaters, reformers, and cracking furnaces required in process industries such as for oil and gas refineries, petrochemical and fertilizer industries. Over the years, the company diversified into flares and incinerator systems and has been developing capabilities in the renewable sector with green hydrogen.

The companys consolidated net profit jumped 56.2%YoY to Rs 16.65 crore in Q4 FY24 Revenue from operations surged to Rs 226 crore in Q4 FY24 as compared with Rs 107.40 crore posted in corresponding quarter last year.

The script jumped 4.06% to settle at Rs 733.65 on Friday, 16 August 2024.
